HOTELI MAESTRAL joint stock company for hotel-management and tourism, Dubrovnik, Cira Carica 3 (hereinafter referred as Vendor), acting on the resolution of its Supervisory Board of 24th October 2001, publishes the following

 

 

INVITATION TO BID

FOR SALE OR JOINT VENTURE IN RESTORING AND OPERATING

HOTEL COMPLEX “DUBROVNIK PALACE” IN DUBROVNIK

 

      I.        SALE

 

I.1.     The subject matter of the sale is hotel complex “Dubrovnik Palace” in Dubrovnik    

          with surrounding lands, in its present state, (plot building number 1665, 2058 plot

          land number 821, 822, 817/4, 817/5, 818/2, 819 and a part of 820 K.O. Gruz (old

          geodetic survey) with remark that the public littoral zone (demesne) has not yet

          been determined.

 

I.2.     Conditions of the sale:

 

       a)      starting purchase price EUR 4.950.000,00:

 b)      payment term-10% of the purchase price in the term of eight (8) days from the

          date of Agreement for Sale and Purchase, and the rest in three (3) equal monthly

          instalments, with provision that the Agreement for Sale and Purchase will become

          effective with the day of the payment of the total amount of the purchase price;

  c)     security for payment-the Bidder is obliged to give  to the Vendor an acceptable 

                instrument of security for the payment of the purchase price:

        d)     taking over in permanent employment of sixty (60) employees of the Vendor, 

                choice of employees subject to mutual agreement;

                To the Bidder who is not ready to take over all of the sixty (60) employees of the

                Vendor, the offered purchase price will be increased for the amount of EUR

                10.000,00 for each employee not taken over:

 

                The Bidder who offers a shorter period for restoring and opening of the hotel

                “Dubrovnik Palace” will have the advantage on others under condition that the

                other elements of the offer are the same.

 

I.3.           The offer has to include the following essential elements:

 

    -     the name and the address of the Bidder;

    -     proof of payment of bond;

    -     price, term and manner of payment of the offered price,

    -     number and time-table of taking over of Vendor’s employees;

    -     proof of citizenship for physical persons, or excerpt from registration of the    

          competent Commercial Court for companies;

 

I.4.          Sale tax on sale of real property, expenses of Agreement and authentication of the

               Agreement, as well as all other taxes and expenses are to be born by the Purchaser.

 

I.5.         The Agreement for Sale and Purchase is to be concluded in the term of fifteen

                (15) days from the day the decision of the General Assembly of the Vendor on

                giving approval to the Management for the sale of real property has been received    

                by the Purchaser. In case the Agreement is not executed in said term because of the

                default of the Purchaser, it is to be concluded that the Purchaser has abstained from  

                purchase. In that case the bond is not to be returned and is to belong to the Vendor.

 

 

II.           JOINT VENTURE

 

II.1.         Invited are physical and legal persons interested in restoration of the hotel complex

               “Dubrovnik Palace”, ready to participate in the joint venture of restoring and

               operating the restored hotel complex, in which HOTELI MAESTRAL d.d. is to

               participate by contributing the hotel complex “Dubrovnik Palace” and surrounding

               lands in the present state-to file offers in which they are to describe the concept of

               restoration of the hotel complex “Dubrovnik Palace” and the terms and conditions 

               of the joint venture in which they would participate.

 

 

III.         GENERAL CONDITIONS

 

III.1.       When submitting offers for purchase (point I.) or joint venture (point II.) the Bidder

               is obliged to pay a bond in amount of EUR 50.000,00 to the foreign exchange

               account of the Vendor with the Dubrovacka banka d.d. Dubrovnik account number:

               31700-620-16 70010-3440885 with note “Bond”.

 

               The right to participate in this public competition have all physical and legal persons 

               who have paid the bond deposit in given term.

 

               The bond will be taken into account of the purchase price to the best Bidder, while    

               to other Bidders will be returned.

 

III.2.       Written offers with all enclosures have to be received by the vendor not later than

              31st December 2001.

 

               Offers can be submitted personally or by first class mail in closed envelopes with 

               note “For public competition-DO NOT OPEN” to the address:

 

               HOTELI MAESTRAL d.d. Dubrovnik, Cira Carica 3, HR-20000 Dubrovnik,

               Republic of Croatia. Late offers and not complete offers will not be examined.

 

III.3.       The Commission for opening and selecting the offers will open received offers in the

               term of 15 days from the day of expiration of the term for submission of offers.

 

 

 

III.4.       HOTELI MAESTRAL d.d. retains the right not to chose anyone of the arrived

               offers or to annul  the public competition without explanation, having no

               responsibility for this decision, nor accepting any responsibility to anyone of the

               Bidders.

 

III.5.       The inspection of real property in question can be made with prior understanding

               with the Management of the Company on tel. 020-437-330 and 437-331.

 

               Further information can be obtained in the offices of the Vendor in Dubrovnik, Cira

               Carica 3 or on the above mentioned telephones.

 

III.6.       Legal-technical documentation of the hotel complex “Dubrovnik Palace” can be

               obtained in company offices in Dubrovnik, Cira Carica 3, every working day from

               9,00 to 12,00 hrs by payment of Kuna 2.000,00.
